General Terms and Conditions

  1. Scope of application and definitions

    The contractual relationship between Jetstream Management Consultancies LLC, The Opus B1103, Al Amal St - Dubai (UAE) (hereinafter referred to as "PROVIDER") and the recipient of the services (hereinafter referred to as "MEMBER", together also referred to herein as the "PARTIES") with regard to a "Jetstream Membership" (hereinafter referred to as "MEMBERSHIP") shall be governed exclusively by these General Terms and Conditions and the Terms and Conditions of Participation.

    The MEMBERSHIP offer is aimed exclusively at entrepreneurs and the self-employed.

    The contractual basis results from the individual agreement between the PROVIDER and the MEMBER (e.g. in the form of a contract) and these terms and conditions.

  2. Services

    The MEMBERSHIP is an exclusive network of entrepreneurs who meet regularly for on-site meetings.

    The MEMBER is entitled to participate in the events offered by the PROVIDER as part of the MEMBERSHIP during the term of the contract. Furthermore, the MEMBER is entitled to participate in events to which the PROVIDER grants the MEMBER access.

    The MEMBERSHIP is linked to the events and dates offered during the term of the contract. These are determined in advance by the PROVIDER and are set out in the annual overview. A transfer of the entitlement to benefits to a later date is excluded.

    Travel and accommodation costs incurred in connection with the PROVIDER's events shall be borne by the MEMBER.

    Individual events may be subject to a charge, as can be seen from the annual overview.

  3. Conclusion of contract

    The presentation of the services on a website, in social networks or in advertisements does not constitute a binding offer by the PROVIDER to conclude a contract.

    The contract between the PROVIDER and the MEMBER may be concluded by telephone (in particular by video or video chat and/or telephone), in text form (in particular by e-mail) or in writing.

    In the case of contracts concluded by telephone between the PROVIDER and the MEMBER, the MEMBER consents to the PROVIDER recording the telephone call and/or video conference with the PROVIDER for evidence and documentation purposes.

  4. Membership fee

    The amount of the membership fee for the MEMBERSHIP is determined by the individual agreement between the PARTIES.

    If payment is made via a payment provider, any additional terms and conditions shall apply in addition. These terms and conditions shall take precedence.

  5. Start, duration and cancellation of the MEMBERSHIP

    The MEMBERSHIP begins on the individually agreed start date.

    The MEMBERSHIP includes the right to participate in four consecutive meetings from the start date. During this period, cancellation without good cause is excluded. If the MEMBER does not attend a meeting, the entitlement is cancelled without replacement. There is no catch-up date. If a MEMBER wishes to terminate the MEMBERSHIP prematurely, the obligation to pay the membership fee in full remains in force.

    The right to extraordinary cancellation for good cause remains unaffected.

  6. Non-transferability of MEMBERSHIP

    The rights of use and participation acquired with the MEMBERSHIP and the MEMBERSHIP as a whole are not transferable to third parties.

  7. Default

    If the MEMBER is in arrears with payments due, the PROVIDER reserves the right not to perform further services until the payments due have been settled.

  8. Terms of payment

    The PROVIDER is authorised to process the payment via a payment provider.

    All billing modalities, in particular invoicing, are carried out electronically via the e-mail address provided by the MEMBER. The MEMBER expressly agrees to this. If the MEMBER wishes a different method of transmission (e.g. by post), he shall bear the additional costs incurred.

  9. Liability

    The PROVIDER shall be liable, irrespective of the legal grounds, within the framework of the statutory provisions only in accordance with the following provisions:

    The PROVIDER shall be liable without limitation for damages resulting from injury to life, limb or health caused by intent or negligence on the part of the PROVIDER or one of its legal representatives or vicarious agents. In addition, the PROVIDER shall be liable for damages caused by intent or gross negligence on the part of the PROVIDER or one of its legal representatives or vicarious agents as well as for damages due to non-compliance with a guarantee or warranted characteristic given by the PROVIDER or due to fraudulently concealed defects.

    The PROVIDER shall be liable, limited to compensation for foreseeable damages typical of the contract, for such damages that are based on a slightly negligent breach of material contractual obligations by the PROVIDER or one of its legal representatives or vicarious agents. Essential contractual obligations are obligations whose fulfilment is essential for the proper execution of the contract and on whose compliance the contractual partner may regularly rely.

  10. Secrecy

    The PARTIES undertake to treat as confidential any information from the other party that becomes known to them in the course of performing the contract.

  11. Copyright

    Any content provided as part of the fulfilment of the contract is protected by copyright. The contents may not be passed on and/or reproduced.

    The MEMBER agrees that audio and video recordings may be made with the participation of the MEMBER, in particular of events, meetings, consultations, group calls and the like, in particular also with the participation of third parties, and may be analysed by the PROVIDER without restriction in terms of time, location and content.

  12. Reference citation

    The PROVIDER may mention the MEMBER by name as a reference in any medium. This also includes the naming and use of any protected brands, designations or logos as well as its image. The PROVIDER is not obliged to mention the name.

  13. Right of cancellation

    There is no right of cancellation for the MEMBER.

  14. General provisions

    The place of fulfilment is the registered office of the PROVIDER.

    All taxes arising from this contract shall be borne by the parties in accordance with the applicable legislation in the respective countries.

    The parties shall use their best endeavours to settle any dispute, disagreement or difference between them in relation to this Agreement by direct negotiation. If the dispute cannot be settled through direct negotiations between the parties, the parties agree that the place of jurisdiction shall be Dubai.

    Amendments to the contract are only valid if agreed in writing.

    The complete text of the contract and the documents resulting from the contract, including the annexes, are written in German and English, whereby both versions are considered official. The version in English shall take precedence for the interpretation of the contract.

Conditions of participation in the Jetstream MEMBERSHIP

  1. MEMBERSHIP FEE

    The first instalment of the membership fee is due immediately upon booking the Jetstream Membership and is payable within seven days. The first instalment is non-refundable. This also applies if the member does not start the MEMBERSHIP.

  2. BILLING INFORMATION

    All fees are net prices plus statutory VAT. The provider is authorised to use a payment provider for payment.

  3. PAYMENT SCHEDULE AND DUE DATES

    The further payments of the Jetstream MEMBERSHIP are to be paid according to the agreement - a) in full before the first meeting or b) according to the instalment plan. Jetstream is entitled to exclude the Member from participation in Meetings if and to the extent that the respective payment due has not been paid in full before the start of the Meeting.

  4. POSTPONEMENT OF THE START DATE

    The agreement on the start date of the Jetstream MEMBERSHIP is binding. It is not possible to postpone the start date.

  5. PAUSE JETSTREAM MEMBERSHIP

    A postponement of one or more meetings or an interruption of the Jetstream MEMBERSHIP for the duration of the respective meeting is only possible for the following reasons:

    • a) Death of a close relative (i.e. spouse, partner, children, parents);
    • b) Illness: (i) corona infection, (ii) cancer or (iii) similar serious illness, in each case either of the member or a close relative.
    • c) Birth of your own child (calculated due date +/- three weeks).

    The following evidence must be submitted to substantiate the respective case:

    • Death: Death certificate
    • Illness: (i) corona infection: PCR test with QR code and quarantine order, (ii) cancer or (iii) similar serious illness: medical certificate stating the illness
    • Birth of your own child: Birth certificate

    Otherwise, the respective meeting, support and access to the WhatsApp group during the respective meeting will expire without replacement. The remuneration according to the instalment payment plan remains unaffected by this. The member will receive access to the WhatsApp group and support for an authorised make-up date.

  6. END OF MEMBERSHIP

    The MEMBERSHIP ends after the implementation date of the fourth meeting after the start date. Upon termination of the membership, all included services and obligations are cancelled without further claims.

  7. DUTY OF CONFIDENTIALITY

    The Member undertakes to treat all confidential information that becomes known to him/her in connection with the Jetstream MEMBERSHIP as strictly confidential and not to disclose it to third parties or use it in any other way. In particular, all trade and business secrets of all participants and of Jetstream Management Consultancies LLC shall be deemed confidential.

  8. POACHING OF EMPLOYEES

    The solicitation of employees of Jetstream Management Consultancies LLC and its partner companies as well as of other participants in the Jetstream MEMBERSHIP is prohibited.

  9. TRAVEL ORGANISATION / PRE-FINANCING OF COSTS

    Catering during the meeting (during the day) is included. Any other additional costs incurred during or on site of the meeting (costs for activities, travel expenses, hotel costs, evening programme, etc.) will be charged additionally. If Jetstream incurs expenses for the duration of the meeting within the Jetstream MEMBERSHIP (e.g. for dinner, transport, etc.), these will be passed on to the member on a pro rata basis. The member will receive an invoice for expenses incurred, which must be paid within 7 working days. Transfers to the activities are organised by Jetstream Management Consultancies LLC.

  10. EVENING PROGRAMME

    The evening programme is an integral part of the meetings. Registration for the member and the accompanying person is binding.

  11. ACCOMPANIMENT

    Accompanying persons who have an exclusively private connection to the Member are only permitted to attend the evening programme of the meetings on site in Dubai on the first evening. Business partners, employees or the like are not authorised accompanying persons and are therefore not permitted to attend. Accompanying persons are not permitted at meetings outside Dubai (e.g. London).

  12. DURATION

    The duration of the regular MEMBERSHIP includes participation in 4 consecutive meetings within the agreed membership period. The start date defined in each case applies (irrespective of a calendar year). The MEMBERSHIP is not automatically extended and ends immediately after the implementation date of the fourth meeting. An extension requires the review and approval of Jetstream Management Consultancies LLC.

  13. CO-OPERATION PROJECTS

    During the Jetstream Membership, cooperation projects (e.g. podcast, YouTube videos, etc.) can be created with the participation of the member. Publication is at the sole discretion of Jetstream. In particular, Jetstream is entitled to take them offline after the Jetstream MEMBERSHIP has expired.

  14. DIGITAL COMMUNICATION

    At the start of the Jetstream Membership and for the duration of the Jetstream Membership, the Member has access to a digital communication platform. Important information that the member should receive before the start of the MEMBERSHIP will be sent to the member by alternative means. If the MEMBERSHIP is paused, the member will be excluded from the Whatsapp group and other coaching programmes for the respective duration.

  15. PARTICIPATION IN SEMINARS

    Participation in further seminars is generally subject to a fee; the contents are not part of the MEMBERSHIP. If a seminar ticket is booked and the member does not attend the seminar, the corresponding cancellation guidelines apply. Cancellation is possible up to four weeks before the start of the seminar at the latest. Otherwise, the entitlement to participation lapses without reimbursement or replacement.
